These Terms of Service ("Terms") govern your access to and use of ReplyLabs, a Google™ Sheets add-on and web dashboard operated by Empra Consultancy LTD ("we", "us", "our"), registered in the United Kingdom. By creating an account or using ReplyLabs, you agree to be bound by these Terms.
If you do not agree, do not use ReplyLabs.
1. Service Description
ReplyLabs is a Google™ Sheets add-on and web dashboard that lets you run AI prompts, web scraping, email verification, and multi-step workflows that combine the three, directly against the rows in your spreadsheet. The service includes:
- A Google™ Sheets sidebar extension for composing and running AI, scrape, verify, and workflow runs.
- A web dashboard at replylabs.io for account management, billing, team management, settings, and workflow templates.
- Server-side processing infrastructure that routes each step to the appropriate third-party provider (AI inference, web scraping, email verification, transactional email).
- Bring-your-own-key (BYOK) support for connecting your own provider accounts on paid plans.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you use ReplyLabs on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
3. Accounts
3.1 Registration. You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
3.2 One Account Per Person. Each individual may maintain one account. Organizations may have multiple user accounts under a single workspace.
3.3 Account Security. Notify us immediately at hello@replylabs.io if you suspect unauthorized access to your account.
4. Plans and Pricing
4.1 Starter. The Starter plan provides access to all core features. AI, scrape, and verify operations are charged from your prepaid balance at published rates, which include a margin over the underlying provider cost.
4.2 Pro and Scale (BYOK). Paid plans are billed monthly per seat. Pro unlocks bring-your-own-key (BYOK) for AI providers. Scale unlocks BYOK for AI, scraping, and email verification. When a step runs against your own provider key, ReplyLabs does not apply its standard margin to that step. You pay the provider directly under your own account; the seat fee covers the ReplyLabs platform that orchestrates the work. Current pricing is published at replylabs.io and on the billing page of the dashboard.
4.3 Workflows. Workflows are multi-step pipelines that combine AI, scrape, and verify steps with row-level filtering between steps. Each step is charged independently at its per-operation rate, and only rows that succeed at a given step are charged for that step. Rows that fail or are filtered out are skipped and not charged for subsequent steps.
4.4 Cancellation of Running Batches. You may cancel a running batch or workflow at any time from the sidebar. Rows that have already completed at the moment of cancellation are billed as usual; rows that have not yet started are skipped and not charged.
4.5 Prepaid Balance. You may add funds to your workspace balance via credit card. Funds are non-refundable once added. When your balance reaches zero, paid operations will stop until funds are added.
4.6 Auto-Recharge. If enabled, we will automatically charge your saved payment method when your balance drops below your configured threshold. You may disable auto-recharge at any time from the billing page.
4.7 Signup Credit. New accounts receive a one-time signup credit (currently $20). The credit is applied to your prepaid balance and is subject to the same usage rules as purchased funds. We may change or end the signup credit program at any time.
4.8 Price Changes. We may change our pricing with 30 days notice. Price changes do not affect operations already in flight or the current billing period for active paid plans.
5. Payment and Billing
5.1 Payment Processing. Payments are processed by Stripe, Inc. By making a payment, you also agree to Stripe's terms of service. We do not store your full credit card details on our servers.
5.2 Subscriptions. Paid plans auto-renew monthly unless cancelled. You may cancel at any time from the billing page. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial months.
5.3 Seat-Based Billing. Paid plans are priced per seat. Adding team members may increase your monthly charge. Removing members reduces the charge on the next billing cycle.
5.4 Cost Transparency. Before you run a batch or workflow, the sidebar displays an estimated cost based on row count and your configured providers. Final billing reflects only operations that actually completed successfully. Detailed usage history is available on the billing page of the dashboard.
5.5 Failed Payments. If a payment fails, we will attempt to charge your payment method again. If payment continues to fail, your plan may be downgraded to Starter and BYOK access may be suspended.
6. Acceptable Use
You agree not to:
- Use ReplyLabs for any unlawful purpose or in violation of any applicable law.
- Send unsolicited commercial email (spam) using data obtained through ReplyLabs.
- Scrape websites in violation of their terms of service or robots.txt directives.
- Use the email verification feature to validate harvested email lists for unsolicited outreach in jurisdictions where this violates anti-spam laws (such as CAN-SPAM, GDPR, or CASL).
- Bring API keys or credentials for provider accounts you do not own or are not authorized to use (BYOK abuse).
- Attempt to reverse-engineer, decompile, or disassemble any part of the service.
- Interfere with or disrupt the service or servers.
- Share your account credentials with others.
- Use automated tools to create multiple accounts.
- Circumvent usage limits, rate limits, or billing controls.
- Use ReplyLabs to process personal data in a manner that violates applicable data protection laws.
7. Your Data
7.1 Ownership. You retain full ownership of all data you process through ReplyLabs, including your spreadsheet content, AI outputs, scraped data, and verification results. We claim no ownership over your data.
7.2 How We Access Your Data. The ReplyLabs Google™ Sheets extension reads from and writes to the specific spreadsheet you have initiated a batch from in our sidebar. We use the spreadsheets.currentonly scope for in-sidebar reads and a separate server-side OAuth flow for the broader spreadsheets scope used to complete long-running batches after the sidebar is closed. You see and approve the server-side consent screen explicitly the first time you enable background completion. We do not access spreadsheets you have not initiated batches from. We do not access other files in your Google™ Drive.
7.3 Data Retention. Batch and workflow metadata (row counts, costs, timestamps, success/failure status) is retained as part of your usage history until you delete your account. Batch row content (prompt inputs and produced outputs such as AI text, scrape content, or verification verdicts) is retained for 30 days from completion and then automatically purged. The full retention table is published in our Privacy Policy.
7.4 BYOK Data Processing. When you bring your own API key, the call to the provider is made under your own account and contract with the provider. ReplyLabs still orchestrates the request and writes results back to your sheet, and we log operational metadata such as model, token counts, latency, and cost class. We do not log the content of your prompt or the provider's response in the BYOK path.
7.5 Data Deletion. You may delete your account and all associated data at any time from the Settings page. See our Privacy Policy for details on data deletion and any data we are legally required to retain.
8. Third-Party Services
ReplyLabs relies on third-party service providers ("subprocessors") for hosting, payments, AI inference, web scraping, email verification, transactional email, analytics, error tracking, and customer relationship management. The canonical, comprehensive list (provider, role, region, data processed) is published at /subprocessors and updated whenever subprocessors change.
Your use of data processed through these services is also subject to their respective terms. We are not responsible for the availability, accuracy, or policies of third-party services.
9. Intellectual Property
9.1 Our IP. ReplyLabs, its source code, design, branding, and documentation are the property of Empra Consultancy LTD. These Terms do not grant you any rights to our intellectual property beyond the limited license to use the service.
9.2 Feedback. If you provide feedback or suggestions about ReplyLabs, we may use them without obligation or compensation to you.
10. Limitation of Liability
To the maximum extent permitted by law:
- ReplyLabs is provided "as is" and "as available" without warranties of any kind, express or implied.
- We do not guarantee that AI outputs, scraped content, or email verification verdicts will be accurate, complete, or fit for any particular purpose. AI models can hallucinate; scraped pages can be incomplete or out of date; deliverability scores are predictions, not guarantees.
- We are not liable for any damages arising from your use of AI-generated content, scraped data, or verification results, including business decisions made on the basis of those outputs.
- Our total liability for any claim arising from these Terms or your use of ReplyLabs is limited to the amount you paid us in the 12 months preceding the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages.
11. Indemnification
You agree to indemnify and hold harmless Empra Consultancy LTD, its officers, directors, and employees from any claims, damages, or expenses arising from your use of ReplyLabs or your violation of these Terms.
12. Suspension and Termination
12.1 By You. You may cancel your subscription and delete your account at any time.
12.2 By Us. We may suspend or terminate your account if you violate these Terms, if your payment fails repeatedly, or if we reasonably believe your use of the service is harmful to other users or to us. We will provide notice where practicable.
12.3 Effect of Termination. Upon termination, your access to ReplyLabs ceases. Your prepaid balance is non-refundable. Data deletion follows the process described in our Privacy Policy.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the dashboard. Continued use of ReplyLabs after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms will be resolved in the courts of England and Wales. Nothing in these Terms affects your statutory rights as a consumer under applicable law.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Empra Consultancy LTD regarding your use of ReplyLabs.
